Digital Traffic Control Diary is a private commercial product of PurposeBuilt Systems LLC. It is not a government product, not endorsed or operated by the Iowa Department of Transportation or any other governmental agency, and not authorized for use by Iowa DOT or Iowa-regulated contractors. See the Independence Disclaimer and Iowa Regulatory Exclusion below for details.
PurposeBuilt Systems LLC is independent of and not affiliated with the Iowa Department of Transportation or any other governmental agency. DTCD is a commercial product of PurposeBuilt Systems LLC. No governmental agency endorses, certifies, warrants, has any ownership or operational role in, or is responsible for DTCD or its outputs.
WZDx data feeds and other data outputs generated by DTCD are provided as-is for informational purposes. They are not a substitute for field verification, professional engineering judgment, or compliance with the Manual on Uniform Traffic Control Devices (MUTCD), applicable state and local traffic control standards, or any other regulatory requirement. Users are solely responsible for all traffic control decisions and compliance with applicable standards.
AI-assisted features, including MUTCD sign recognition and automated documentation review, are decision-support tools only. They do not constitute professional engineering advice, are not safety-critical systems, and must not be used as the sole basis for traffic control decisions. Users must exercise independent professional judgment and verify all AI-assisted outputs before relying on them.
Pursuant to PurposeBuilt Systems LLC's filing under Iowa Code § 68B.4 and 351 IAC 6.11(68B), use, installation, and paid subscription of any PurposeBuilt Systems mobile or web application (including DTCD) by the following parties is unauthorized:
(a) the Iowa Department of Transportation, including its divisions, bureaus, offices, and contractors performing DOT-regulated work;
(b) any contractor, subcontractor, utility owner, utility contractor, engineering firm, or consulting firm that is subject to Iowa Department of Transportation regulatory authority or that holds an active Iowa DOT contract; and
(c) any individual employed by, retained by, or acting on behalf of the entities in (a) or (b) for purposes related to that engagement.
Any installation, use, or subscription in violation of this provision is unauthorized and voidable at PurposeBuilt's sole discretion, with paid-subscription fees fully refundable.
PurposeBuilt Systems cannot and does not determine whether you or your organization fall within the excluded class. That determination is governed by Iowa Code Chapter 68B and is made by the Iowa Ethics & Campaign Disclosure Board and Iowa DOT, not by PurposeBuilt. If you are uncertain, contact the Iowa Ethics & Campaign Disclosure Board (ethics@iowa.gov, 515-281-4028) or Iowa DOT directly before installing or subscribing. Do not rely on PurposeBuilt for that determination.
By downloading, installing, accessing, or using the Digital Traffic Control Diary mobile application ("App") or web services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App or Services.
Subject to these Terms, Purpose Built Systems LLC ("Purpose Built Systems", "we", "us") grants you a limited, non-exclusive, non-transferable, revocable license to:

Upon termination, your license ends immediately and you must cease all use and delete all copies. We may delete your User Data after a reasonable period.
THE APP AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:
We do not warrant that Services will be uninterrupted or error-free, that defects will be corrected, or that Services are free of viruses or harmful components.
YOU ASSUME ALL RISK FOR USE OF THE APP AND SERVICES, ACCURACY OF WORK ZONE DOCUMENTATION, COMPLIANCE WITH DOT REGULATIONS, AND DATA LOSS OR CORRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM.

You agree to indemnify, defend, and hold harmless Purpose Built Systems LLC and its officers, directors, employees, and agents from all claims, damages, losses, and expenses (including attorney fees) arising from:
Our collection and use of personal information is governed by our Privacy Policy. We implement reasonable security measures but cannot guarantee absolute security. You use the Services at your own risk.
These Terms are governed by the laws of the United States, without regard to conflict of law provisions.
MANDATORY ARBITRATION: Any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association. You waive the right to a jury trial and to participate in class actions.
Either party may seek injunctive relief in court for intellectual property violations or confidentiality breaches.
We may modify these Terms at any time by posting updated Terms in the App or providing notice via email or in-app notification.
Continued use after changes constitutes acceptance. If you don't agree, stop using the Services.

The App contains technological protection measures to prevent unauthorized access and copying. Circumventing these measures violates federal law and may result in:

BY USING THIS SERVICE, YOU ACKNOWLEDGE THAT:
DTCD, the Digital Traffic Control Diary mobile applications, the DTCD dashboard, the DTCD WZDx feed generator, MUTCD sign-recognition models, automated route generation, IoT auto-discovery, predictive tracking, V2X feeds, and all related software, designs, branding, technical processes, algorithms, training data, and documentation are the sole and exclusive property of PurposeBuilt Systems LLC. PurposeBuilt Systems LLC is the named applicant and sole owner of one or more pending United States patent applications covering subject matter incorporated in DTCD (Patent Pending). All rights are reserved.
No license, ownership interest, work-for-hire interest, co-inventorship right, or right to derivative use is granted to any user, employer of any user, agency, contractor, or governmental entity by virtue of installation, subscription, evaluation, or use of DTCD. PurposeBuilt Systems LLC operates independently of every governmental agency, and no governmental agency holds any ownership, control, license, or co-inventorship interest in DTCD or any of its components.
You retain ownership of the data, photos, geographic information, voice notes, and other materials you upload to or generate through the App or Services ("User Content"). By submitting User Content, you grant PurposeBuilt Systems LLC a worldwide, non-exclusive, royalty-free, irrevocable, sublicensable, transferable license to host, store, reproduce, display, distribute, transmit, modify, adapt, and create derivative works of the User Content for the purposes of:
(a) operating, providing, and improving the Services;
(b) generating, transmitting, and publishing WZDx, CWZ, CIFS, KML, GeoJSON, DATEX II, and other data feeds derived from User Content;
(c) producing and delivering compliance documentation, reports, invoices, and PDFs to you and to your authorized recipients; and
(d) creating, training, validating, and improving aggregated, statistical, or de-identified datasets and machine-learning models — including but not limited to MUTCD sign-recognition, work-zone classification, route generation, and edge-AI classification models — derived from User Content.
Machine-learning training under clause (d) is conducted by either or both of the following methods:
(i) On-device (federated) training, in which model parameters are updated locally on your device using your User Content as inputs, only the resulting model-weight updates (and not your raw photos, sensor readings, or location data) are transmitted to PurposeBuilt's servers, and weight updates from many users are aggregated to produce a shared model; and
(ii) Server-side training, in which photos and other User Content are uploaded to PurposeBuilt's infrastructure for use in supervised machine-learning training. Server-side training under method (ii) is conducted only after PurposeBuilt has applied automated de-identification to the source materials (including face and license-plate redaction) and removed direct personal identifiers, OR where you have provided separate, granular opt-in consent by written request to matthew@purposebuilt.systems to contribute non-de-identified photos.
You may opt out of contributing User Content to server-side training (method (ii)) at any time by emailing matthew@purposebuilt.systems with the subject line "Opt out of ML training." PurposeBuilt will process opt-out requests within thirty (30) days and confirm completion by reply email. Opting out does not affect your access to the Services and does not retroactively remove your User Content from models that have already been trained, but it will exclude your User Content from any future training run.
The aggregated, statistical, de-identified, and on-device-derived portions of this license are perpetual and survive termination of your account and these Terms. You represent and warrant that you have all necessary rights to grant this license and that the User Content does not infringe any third-party rights.
PurposeBuilt Systems LLC respects the intellectual property rights of others. In accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512), we will respond to clear notices of alleged copyright infringement.
If you believe in good faith that material accessible through the Services infringes your copyright, you may submit a written DMCA takedown notice that includes:

PurposeBuilt Systems LLC is registered with the U.S. Copyright Office DMCA Designated Agent Directory (Registration No. DMCA-1072310). Misrepresentations in a DMCA notice may subject you to liability under 17 U.S.C. § 512(f). We will respond to counter-notifications submitted under 17 U.S.C. § 512(g) in accordance with the statute.
EACH PARTY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, THE APP, OR THE SERVICES. THIS WAIVER APPLIES TO ANY CLAIM, COUNTERCLAIM, OR THIRD-PARTY CLAIM, WHETHER SOUNDING IN CONTRACT, TORT, STATUTE, OR OTHERWISE.
These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-laws principles. For any dispute that is not subject to mandatory arbitration under Section 13, the parties consent to the exclusive personal jurisdiction and venue of the District Court for Polk County, Iowa or, where federal jurisdiction exists, the United States District Court for the Southern District of Iowa. Each party waives any objection to venue, forum non conveniens, or the inconvenience of litigating in those courts.
To the maximum extent permitted by law, any claim arising out of or relating to these Terms, the App, or the Services must be filed within ONE (1) YEAR after the cause of action arose. Claims filed after that period are permanently barred.
All claims must be brought individually and on a non-representative basis. Mass arbitrations, joint arbitrations, consolidated proceedings, class arbitrations, and class actions are expressly prohibited. The arbitrator has no authority to adjudicate claims on a class, collective, or representative basis. If any portion of this restriction is held unenforceable as to a particular claim, that claim must proceed in court (subject to Section 19) rather than in arbitration, while the remainder of these Terms continues to apply.
If a court or arbitrator determines that a claim brought against PurposeBuilt Systems LLC was frivolous, brought in bad faith, brought for an improper purpose, or brought without substantial justification, the claimant shall reimburse PurposeBuilt's reasonable attorney fees and costs to the maximum extent permitted by law.
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions continue in full force and effect, and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable while preserving its original intent.
Neither party is liable for any failure or delay in performance caused by circumstances beyond reasonable control, including acts of God, government action or order, war, terrorism, civil unrest, labor disputes, internet or utility outages, third-party service failures, cyber-attack, or pandemic.
These Terms create no rights in any third party, including but not limited to any governmental agency, employer of any user, or any person or entity not directly party to this agreement. No third party is entitled to enforce any provision of these Terms.
By installing, signing in to, accepting these Terms, checking a certification checkbox, or proceeding through any consent flow, you consent to do so by electronic means under the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.), the Iowa Uniform Electronic Transactions Act (Iowa Code Chapter 554D), and any analogous state law. Your electronic signature has the same legal effect as a handwritten signature, and electronic records satisfy any requirement that records be in writing.
You may not assign these Terms or any rights or obligations under them without PurposeBuilt's prior written consent, and any purported assignment in violation of this section is void. PurposeBuilt may assign these Terms in connection with a merger, acquisition, sale of assets, reorganization, or by operation of law without your consent.
These Terms, including the Iowa Regulatory Exclusion certification record, the in-app disclosures, and any subscription purchase confirmation, constitute the entire agreement between the parties regarding the App and Services and supersede all prior or contemporaneous communications, whether oral or written. No oral modification, waiver, or course of dealing modifies these Terms.
Notices to PurposeBuilt Systems LLC must be sent to matthew@purposebuilt.systems. PurposeBuilt may give notice to you by email to the address associated with your account, by in-app notification, or by posting on the dashboard. Notices are effective upon delivery to the email address on file or upon posting.
